A corporation’s Articles of Incorporation outline the rules governing its management. It is filed with a State and regulatory agency that your business operates. Articles of incorporation differ across various States and corporations. However, it does not provide detailed information on the operation of the corporation. The corporation’s By-Laws states its detailed operations.

The following are the basic information stated in a corporation’s Articles of Incorporation.

Corporation’s Name, Type and Incorporators

The name of the corporation should be registered to the State where it is currently having its operation. Its name must indicate the word corporation to show people doing business with them that it is operating as a corporation and must be treated as one. Likewise, the names of the people organizing the corporation are included on the information indicating the names of the corporation’s incorporators. The names of its initial or interim Board of Directors can be included in the registration of the Articles of Incorporation.

The Articles of Incorporation must indicate the type of corporation the company is running whether non-stock or stock corporation. A stock corporation must indicate the number of shares that the corporation is authorized to issue. A non-stock corporation must identify if it is a profit or non-profit corporation. A non-profit organization in the United States is eligible for tax exemptions.

Corporation’s Existence and Purpose

The existence of the corporation should also be indicating in the Articles of Incorporation. It should be indicated whether the corporation will exist for a limited period or will be a permanent corporation. The purpose of setting up the corporation is also indicated. It might be written in general or specific terms.

Location

The location of the registered office of the corporation must be indicated in the Articles of Incorporation where legal documents can be mailed when necessary.

Articles of Incorporation are an important document to register corporation. Thus, it is required that all corporations must provide and kept a copy of it.
