What is a registered agent?

A registered agent, also known as a resident agent, is responsible for the forwarding of business correspondence and legal documents to a company’s main address in a timely manner. Registered agents must be available at normal business hours to receive these documents, and must be a resident of the state where you have chosen to incorporate. The registered agent can hold a registered office in that state, and must have a valid mailing address within the state where you have incorporated. The use a post office box as a mailing address is not permitted by law.

What is a registered agent service?

A registered agent service/registered agent can provide you with reminders of deadlines for submissions of annual reports and other filings. Some registered agent services also provide you with the use of lawyer for any legal advice that may be needed.

What is a registered agent?

If there is any legal summons, proceedings or notices (also called service of process) that are served against your company, it is also the job of the registered agent to accept these documents and inform your company that such documents were received. It is important that the registered agent or registered agent service you choose is responsible enough to send you these notices/proceedings in the fastest and most reliable manner.

Failure to appoint a registered agent and/or office will make you liable to face civil and criminal charges, and affect your good standing within the state where you incorporated. There is also a big chance that your business license will be forfeited, and you will be restricted from entering into any business contracts.

Obtaining a registered agent is easy, and can be done through the Internet. For an annual fee, the service takes charge of contacting the Secretary of State, so that you can be assigned a registered agent.

The law allows you to change registered agents in the event you are not happy with the service of your present agent. There is a processing fee that will need to be paid; however, most registered agents absorb these fees when you switch to their company.
